  • This paper studies the determinants and the role of shareholder voting rights in mergers and acquisitions. Comparing deals with acquirer shareh older voting rights with those without from 1990 to 2005, we document that acquisitions with sh areholder voting rights are associated with lower synergistic gains. Those offers also underpe rform in the long run.
